TA MegaShot Giveaway (The “Sweepstakes”)
Official Rules and Regulations

This Sweepstakes is intended for viewing and participation in the 50 United States and Washington D.C. only and shall be construed and evaluated according to the laws of the United States. Please do not enter if you are not a legal resident of, and not located in, the 50 United States or Washington D.C. at time of entry. VOID WHERE PROHIBITED BY LAW.

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING.

SWEEPSTAKES PERIOD: Starting September 1, 2008 at 12:00:01 AM ET and ending October 31, 2008 at 10:00:00 AM ET (the "Sweepstakes Period").
HOW TO ENTER THE SWEEPSTAKES: You must be a RoadKing Club member in order to enter the Sweepstakes. RoadKing Club registration and membership are free. To apply for a membership, call the RoadKing Club Customer Service line at 1-866-752-2582, or apply at the RoadKing Club Kiosk at any TravelCenters of America (“TA”) location, or at the TA Shop, or on-line at www.tatravelcenters.com.

You will need to provide your name, address, city, state, zip code, phone number, email address and birthday. Customers should register using the name that is printed on their driver’s license. Entry of intentionally fictitious or profane data in any of the required fields will result in termination of the account and forfeiture of all existing points, shower credits and any other benefits. Limit of one (1) RoadKing Club Membership registration per person. If it is discovered that you have registered or attempted to register more than ONCE, all of your entries may be declared null and void, and any prize you might have been entitled to may not be awarded. RoadKing Club members will receive Sweepstakes entries by making a Daily Qualifying Purchase (defined below) (for entry with no purchase necessary, see Rule 3 below) at a participating TA sit-down or fast food restaurant or a TA truck service repair shop, or by purchasing diesel fuel (except in MD, VI and NJ) at any TA location during the Sweepstakes Period, AND by swiping their RoadKing Card at the time of purchase (a “Qualifying Purchase”). Please note that Sweepstakes entries will not be awarded for purchases made without swiping the RoadKing Card. Items purchased in the TA Travel Stores as well as other certain excluded items as referenced in the RoadKing Club membership rules (beer, alcohol, gratuities, gift certificates, labor for new or used tires installed on National Tire Account, used tires purchased on National Tire Account, Freightliner or Delco warranty repair work, discounts, sales tax on valid items purchased or for any purchases made using TA RoadMile Redemption Certificates) do not qualify for a Sweepstakes entry.

(*)For the purposes of this Sweepstakes a “Daily Qualifying Purchase” is defined as a Qualifying Purchase made on any given day during the Sweepstakes Period; and a “Day” is hereby defined as each 24-hour period starting at 12:00:00 AM ET and ending at 11:59:59 PM ET (except for the last day of the Sweepstakes Period, which will start at 12:00:00 AM ET and will end at 10:00:00 AM ET).The individual whose name appears on the RoadKing Club account associated with the RoadKing card that was swiped at the time of the Qualifying Purchase will be deemed the entrant. Limit of fifty five (55) entries per Standard member per day (considering all methods of entry combined), one hundred and ten (110) entries per Chrome member per day (considering all methods of entry combined), and one hundred and sixty five (165) entries per Elite member per day (considering all methods of entry combined) allowed throughout the Sweepstakes Period from all methods of entry combined. Purchases made but subsequently cancelled during the Sweepstakes Period shall not be considered Daily Qualifying Purchases for the purposes of this Sweepstakes. Purchases made with RoadKing cards which are stolen, fraudulent, tampered with, or otherwise altered are also excluded from being eligible for entry. Entrants may only receive automatic entry/entries for valid Daily Qualifying Purchases that they personally make and pay for.

NO PURCHASE NECESSARY: To earn entries into the Sweepstakes without making a Daily Qualifying Purchase, visit www.tatravelcenters.com, click on the “Take a MegaShot Survey” Button, enter your 16-digit Road King Club account number and answer a brief survey with questions about the quality of our service . No Purchase Necessary entries will be awarded according to the following chart:

There is a maximum of five (5) surveys per person per day throughout the Sweepstakes Period . If it is discovered that you have attempted to receive more than one hundred and sixty five (165) entries per day (considering all methods of entry combined), all of your entries may be declared null and void, and any prize you might have been entitled to may not be awarded. Without limiting the foregoing, any requests for entries which are made in any fashion other than as specified herein are void.

ELIGIBILITY: To enter and be eligible to win, you must be a legal resident of the 50 United States or Washington, D.C., 18 years of age or older, AND be a RoadKing Club member. Persons in any of the following categories are NOT eligible to participate or win prizes: (a) any person who, at any time on or after September 1, 2008, was or is a director, officer, or employee of TA Operating LLC (the “Sweepstakes Sponsor”), or its parent, affiliates, subsidiaries, franchisees, or service agencies (collectively the “Sponsor Entities”); (b) individuals engaged in the development, production or distribution of materials for the Sweepstakes or engaged in the administration or execution of this Sweepstakes (collectively the “Releasees”), and (c) persons who are or purport to be immediate family members of any person in any of the preceding categories, regardless of where they live, or who reside in the same household (i.e., live in the same household for at least 3 of the 12 months preceding the start of the Sweepstakes Period, whether related or not) as any person in any of the preceding categories.

RANDOM SWEEPSTAKES DRAWS: There will be two types of drawings in this Sweepstakes:

Mega Monday Sweepstakes draws: Every Monday during the Sweepstakes Period (except on September 1, 2008) a random computer-generated Sweepstakes drawing will be held at 10:00 a.m. (ET) in Westlake, Ohio. In each Sweepstakes drawing, the Sweepstakes Sponsor will randomly select up to a total of one hundred and five (105) entries (for a total of eight hundred and forty (840) Mega Monday Sweepstakes winners – see table below in Rule #6) from among all eligible entries received throughout the Sweepstakes Period up to the time of each applicable Sweepstakes drawing (the “Potential Mega Monday Winners”). Non-winning entries from one drawing will be rolled over into subsequent drawings. Each selected entry will be the Potential Winner of one (1) prize from the prize pool described in Rule #6 below. The prize to be won by each Potential Winner will be randomly assigned by a computer program at the time of the applicable drawing. The odds of winning a prize in a Mega Monday Sweepstakes depend on the total number of eligible entries received as of the date of the applicable drawing.
Note: all the entries received after the last Mega Monday Sweepstakes draw (October 27, 2008 at 10:00 a.m. ET) will only participate in the October 31, 2008 Grand Prize Sweepstakes draw (see below).
Grand Prize Sweepstakes draws: In addition, there will be two Grand Prize Sweepstakes drawings taking place on September 30, 2008 and October 31, 2008 at 10:00 a.m. ET in Westlake, Ohio. In each of these two drawings one (1) entry will be drawn from among all eligible entries received throughout the Sweepstakes Period up to the time of each applicable Grand Prize Sweepstakes drawing (the “Potential Grand Prize Winners”). Non-winning entries from one drawing will be rolled over into subsequent drawings. Each selected entry will be the Potential Winner of one (1) Grand Prize (see Rule #6 below for details). The odds of winning a prize in a Grand Prize Sweepstakes depend on the total number of eligible entries received as of the date of the applicable drawing.

PRIZES: At the outset of the Sweepstakes, the Prizes available to be won are:

(2) Grand Prizes: Each of the two (2) Grand Prize Winners will receive $25,000.00 to be awarded as a check.

Total ARV of all prizes available to be won: $59,598.80. ARV of prizes are calculated based on retail prices at the outset of the Sweepstakes. Prices may vary during the course of the Sweepstakes. Sweepstakes Sponsor will not reimburse winners for any difference between the ARV as disclosed in these Official Rules and actual retail prices at the time of the awarding of the prizes.

How To Claim Your Prize:

Potential Mega Monday Winners will be notified via email (using the email address provided during registration) at the completion of the applicable Sweepstakes drawing. It is your sole responsibility to ensure the email address is functional and is a valid email address, and to configure your spam filters as necessary to ensure prompt receipt of messages. (Additionally, you will be able to check if you are a Potential Winner by swiping your RoadKing Card at a RoadKing Club Kiosk.) Upon notification and satisfactory verification of Potential Mega Monday Winners eligibility under these Official Rules, prizes will be awarded at the RoadKing Club Kiosk by use of a prize redemption certificate or coupon. Prize redemption certificates or coupons are valid exclusively at participating TA locations, and cannot be used in conjunction with any other promotion. Potential Winners will be responsible for applicable sales tax. Potential Winners will be required to swipe their RoadKing Card at a RoadKing Club Kiosk (with no purchase necessary) in order to print the prize redemption certificate or coupon. All redemption certificates/coupons must be printed by November 30, 2008 or the prize will be automatically forfeited and go un-awarded. All redemption certificates/coupons will expire 30 days from the date they are printed at the RoadKing Club Kiosk. If a Potential Mega Monday Winner is found to be ineligible or declines to accept the prize, or if Sweepstakes Sponsor is unable to contact a Potential Mega Monday Winner by email within a reasonable period, the prize will be forfeited. Unclaimed prizes will not be awarded. No replacements will be issued for lost, damaged or expired redemption certificates or coupons. Potential Grand Prize Winners will be contacted by phone and email with instructions on how to claim the prize. Grand Prizes won by persons who are eligible entrants but considered minors in his/her state of residence will be awarded to a parent or legal guardian who must sign and return all required documentation outlined herein and otherwise comply with all requirements imposed on Grand Prize Winner set forth herein. Potential Grand Prize Winners (or parent/legal guardian where applicable) may be required to furnish proof of identification. Before being declared a Winner, Potential Winner (or parent/legal guardian where applicable), may be required to execute and return an Affidavit of Eligibility/Liability & Publicity Release and a W9 form within seven (7) business days from the time it is postmarked as having been sent by the Sponsor or its representative, or the prize will be forfeited. Allow 6 to 8 weeks for verification, and shipment of Grand Prize after verification. If a Potential Grand Prize Winner is found to be ineligible or declines to accept the prize, or if Sweepstakes Sponsor is unable to contact a Potential Grand Prize Winner by phone within 10 business days, the prize will be forfeited and may be awarded (at Sweepstakes Sponsor’s exclusive discretion) to an alternate winner.
By entering the Sweepstakes, Potential Winners grant the Sweepstakes Sponsor, the Sponsor Entities and the Releasees the right to the use of their names, addresses, voices, and statements relating to the Sweepstakes or Sweepstakes Sponsor, and photographs or other likenesses, without further compensation, notification or permission in any publicity or advertising carried out by Sweepstakes Sponsor or the Sponsor Entities in any and all media now known or hereinafter developed without territorial or time limitation, except where prohibited by law.
Sweepstakes Sponsor, the Sponsor Entities and its Releasees shall not be held responsible for any delays in awarding prizes for any reason outside of their control. Prizes will only be awarded to verified winners.
Prizes are non-transferable, non-exchangeable, non-redeemable for cash, and must be accepted as awarded. No substitutions of any kind will be made on any prize, except at the sole discretion of the Sweepstakes Sponsor who reserves the right to substitute a prize of comparable or greater value. All taxes being assessed as a result of receiving any prizes will be the sole responsibility of the respective winners.
Conditions of Entry:
By entering, entrants (i) acknowledge compliance with these Official Rules including all eligibility requirements and, (ii) agree to be bound by the decisions of the Sweepstakes Sponsor, made in their sole discretion, which shall be final and binding in all matters relating to this Sweepstakes. Entrants who have not complied with these Official Rules are subject to disqualification.
Sweepstakes Sponsor is not responsible for late, lost, damaged, stolen, fraudulent, misdirected, mutilated, garbled, illegible or incomplete submissions or for Kiosk prize notifications. Each entrant shall take all necessary measures to avoid same and shall assume all consequences in this respect.
As a condition of entering, entrants (or their parent or legal guardian if an eligible minor) agree: (a) to release Sweepstakes Sponsor, the Sponsor Entities and Releasees, and each of their officers, directors, employees and agents, from any and all liability, loss or damage incurred with respect to participating in the Sweepstakes or the awarding, receipt, possession, and/or use or misuse of any prize or any travel related thereto, (b) that under no circumstances will Sweepstakes Sponsor or Releasees be liable for punitive, incidental or consequential damages; (c) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs.
Any Kiosk prize notifications obtained through unauthorized or illegitimate sources/channels, or which are not original, are illegible, have been tampered with, mutilated, altered, reproduced, stolen, forged, counterfeited, irregular, marked improperly; or which contain printing or production errors, or any errors in any way, will be void at the discretion of the Sweepstakes Sponsor. In no event will the Sweepstakes Sponsor be liable for more than the stated number of prizes available in the prize category in question. If in the event of a technological or other error more prize notifications are given in any prize category than as set forth in these official rules, Sponsor reserves the right to conduct random drawings from among all eligible prize claimants in such category to award the prizes.
Disclosures
Sweepstakes Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Sweepstakes at any time, if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or any other errors or other causes corrupt the administration, security, integrity or proper play of the Sweepstakes or Kiosk prize notification.
Any attempt by an entrant or other individual, to deliberately damage or undermine the legitimate operation of this Sweepstakes, including but not limited to any fraudulent claims or tampering with any Kiosk or Kiosk prize notification, is a violation of criminal and civil laws. Should such an attempt be made, Sweepstakes Sponsor reserves the right to seek remedies and damages from any such individual, to the fullest extent permitted by law, including criminal prosecution. Participants engaging in any of the foregoing activities may be disqualified and will forfeit any prize(s) won.
In the event of any conflict with any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in Sweepstakes Materials (including but not limited to point of sale, television, and print advertising, Sweepstakes packaging, and other Sweepstakes media), the details of the Sweepstakes as set forth in these Official Rules and the decisions of the Sweepstakes Sponsor shall prevail.
Sweepstakes Sponsor and its agents are not responsible for broadcasting, telephone system, interactive voice recording, electronic equipment, computer, software or other system errors, system failures or technical difficulties. Sweepstakes Sponsor reserves the right at its sole discretion, to disqualify any individual (and his/her Sweepstakes entry) who Sweepstakes Sponsor determines to be in violation of these Official Rules. Sweepstakes entries may be voided if the entry contains illegible, incorrect, or false information.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sweepstakes Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the substantive laws of the State of Ohio without regard to Ohio conflicts of law principles. All entrants consent to the jurisdiction and venue of the federal, state and local courts for Westlake, Ohio.
The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In particular, Sweepstakes Sponsor’s employees are not authorized to waive, modify or amend any provision or provisions of these Official Rules in any manner whatsoever.
This Sweepstakes is solely sponsored by TA Operating LLC, 24601 Center Ridge Road, Westlake, OH 44145-5639.
The information that Sponsor gathers from entrants for participating in this Sweepstakes will be used solely for the purposes of administering this Sweepstakes, and will not be used for future marketing campaigns not related to this Sweepstakes unless entrants consented to such use when entrants registered for RoadKing Club membership. Information collected will not be sold to any other organization. By entering into this Sweepstakes entrants agree to the collection, use and disclosure of entrants’ information in accordance with these Official Rules.
